HACEB CONNECTED HOME TERMS AND CONDITIONS

Welcome to the Haceb Connected Home app (hereinafter the “App”), which has been created to better serve you. With it you will be able to access our products and services, as well as link and manage your compatible IoT devices located in Colombia.

The App is the sole and exclusive property of Industrias Haceb S.A. (hereinafter “Haceb”) identified with NIT. 890.900.281-4 and is controlled and operated by it from its offices located in Colombia; therefore, the App has been created in compliance with the laws of this country.

This document sets forth the terms and conditions (the “Terms” or “Terms of Use”) under which you may use the App. You should be aware that by accessing, using and/or subscribing to the App, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree with them, we ask you to refrain from using the App.

HACEB CONNECTED HOME CONTENTS

The App has a series of tools that are divided into the following groups:

• Services: The App will provide the User with the ability to contact the brand through the following tools:

o Chatbot: will allow the User to contact us through WhatsApp Business.

o Virtual scheduling: the User will be able to create and manage appointments using Haceb Services.

• Digital Commerce: The User will be able to access our e-commerce platform. Purchases made there will be governed by the provisions set forth in the following link www.haceb.com/institucional/terminos-y-condiciones.

• Customization and configuration of connected products: This functionality allows you to link IoT compatible products easily and securely using a QR code or automatic scanning of nearby products, as well as to access the control and configuration panels of the products and change their values or parameters.

WARNING! IoT products or network-connected products were created to make your life easier, but in no way replace your obligations or responsibilities to your pets, objects or another person.

• Digital Content: You will be able to access the different Haceb platforms such as the Haceb blog, YouTube channel and social media channels such as Instagram and Facebook, among others that may contain information of interest.

USER REQUIREMENTS

To use or register for Haceb Connected Home you must be at least 18 years of age, or be of legal age in your jurisdiction, and have the capacity, right and freedom to enter into these Terms of Use as a binding agreement. You are not permitted to use this App if doing so is prohibited in your country or under any law or regulation applicable to you.

The User must have an intelligent mobile device (Smartphone) or Tablet running on an Android or iOS operating system with Internet access, which must be secure and reliable. Haceb will not be responsible for the security of the Smartphone devices owned by the Users used to access the App, nor for the availability of the service on the devices on which the App is downloaded.

ACCEPTANCE OF THE TERMS OF USE

By accessing, browsing and/or using the App, you acknowledge that you have read and understood the Terms of Use set forth herein, agree to be bound by them and comply with all applicable laws and regulations that apply to Colombian law. The App has been developed in compliance with the laws and regulations of Colombia, and as such, Users agree to abide by the terms and restrictions set forth herein, as well as the provisions of such legislation.

Haceb makes no representation that the content of the App is appropriate, available or legal in other countries. Access to and use of the App is prohibited from territories where its contents are illegal.

Those who choose to access the App from other locations do so on their own initiative, and it is their responsibility to abide by applicable local laws. Any claim regarding the App and the material contained therein shall be governed by the laws of Colombia.

INTELLECTUAL PROPERTY AND COPYRIGHT

The trademarks, commercial slogans, and in general the distinctive signs owned by Haceb or third parties, as well as all advertising, photographic, computer, graphic, multimedia, audiovisual and/or design material, and in general all content, texts and databases made available to you in the App, (hereinafter the “Contents”), are the exclusive property of Haceb, or otherwise Haceb is duly authorized for their use and/or exploitation.

All Content provided on Haceb Connected Home is protected by copyright laws and all applicable national and international intellectual property and other regulations.

Except as expressly set forth in these Terms of Use, any reproduction, modification, copying, creation of derivative works, sale or distribution, and display of the Content, in any form or by any means, including, but not limited to, electronic, digital, mechanical, photocopying, recording or otherwise, without the prior written permission of Haceb or the copyright holder, is prohibited.

OBLIGATIONS AND PROHIBITIONS

• The User is prohibited from licensing, selling, renting, leasing, transferring, publishing the App in any form or using the product for commercial purposes. Consequently, you will only be able to use the App on the authorized system platform and on the permitted terminal.

• The User hereby agrees that the App may only be used for non-commercial purposes.

• Haceb reserves the right to amend, update or transfer the App or relevant functions thereof from time to time. Haceb may add new features or services.

• The User must duly protect their account number and password. If a security breach occurs in connection with your account, you must notify Haceb immediately to take appropriate action. Otherwise, the User shall be liable for any action taken as a result of such a breach of security of their account.

SERVICE APPLICATION RULES

As a User, you must use the App in a normal and proper manner, that is, in accordance with the uses permitted and informed in these Terms of Use. The following forms of use do not comply with the applicability rules:

• Spreading computer viruses, worms, malicious code or software that deliberately damages or changes the computer system or data.

• Collecting information or data from other users without authorization.

• Maliciously using the App in an automated manner that causes server overload.

• Trying to visit server data without authorization.

The User hereby acknowledges and agrees that:

• Haceb, upon analysis, will determine whether the User is involved in violations of the aforementioned standard of applicability, as well as relevant laws and in such case will suspend or terminate the User’s User account.

• When the User breaches or infringes legal rights, agreements or the text described herein, Haceb, at its sole discretion, may directly delete the information issued and delivered by the User while using the App.

• If a third party suffers damages resulting from the User’s breach of the applicable rules and the provisions of the Terms of Use, the User shall independently assume legal liability on their own behalf and shall protect and indemnify Haceb against any additional losses or expenses arising therefrom.

SECURITY

Haceb is committed to protecting the security of your personal data and information. Haceb has implemented security mechanisms that guarantee the protection of personal information, as well as access granted only to authorized personnel and systems, and also against loss, misuse and alteration of your User data under our control.

HACEB’S LIABILITY

Haceb will endeavor to ensure the availability, continuity or proper functioning of the App. Haceb may block, interrupt or restrict access to it when it deems it necessary for app improvement, maintenance or due to its termination.

The User is recommended to take appropriate measures and act diligently when accessing the app, such as, for example, having antivirus protection software for handling malware, spyware and similar tools.

EXEMPTION FROM LIABILITY

The User agrees that Haceb shall not assume any liability in connection with direct or indirect losses arising from force majeure or acts of God.

The User shall assume liability for personal injury or incidental or indirect injury arising from or in connection with any of the following incidents:

1. A third party using the app and changing your data without permission

2. Expenses and losses arising from the use of the app

3. Errors due to the User’s lack of understanding of the App.

4. Other losses related to the App arising from reasons not attributable to Haceb.

Any other technological solution obtained from the App that has not been developed and released by Haceb or whose software development and release is not authorized by Haceb will be considered illegal software. Downloading, installing and using such software may result in unpredictable risks. Haceb shall be exonerated from legal liabilities and litigation arising from these activities and Haceb shall hold the right to suspend or terminate the User’s account and/or all remaining services.

The User acknowledges and accepts that the App’s proper functioning depends on different factors which are not under Haceb’s control, including but not limited to proper internet access, the correct use of the App, the proper pairing and connection of the devices to the App, electrical power or battery life, among others. As such, the App does not replace in any case the actions, responsibilities and obligations that a person has towards another person, its objects or pets. Consequently, without prejudice to the functionalities offered by the App and the devices linked to it, the User is required to verify the correct operation of the App. Any damage or risk derived from the inadequate operation of the App, regardless of the cause thereof, shall be the responsibility of the User.

The material and technical components of the App may include errors and technical failures at any time, and your use of the App is at your sole risk and responsibility. Neither Haceb, nor the third parties involved in the design, administration and updating of the App shall be liable for any damages that the Users may suffer directly or indirectly as a result of access, lack of access, use or impossibility of use of the App. Haceb does not warrant that access to its App will be permanently available and/or that it or its content will be error-free.

Therefore, Haceb shall not be liable for any damages directly or indirectly suffered as a result of the use of, access to, or inability to use or access its App, caused by, among other circumstances, but not limited to, the use of or failure to access the App; the use of or failure to access a linked site (“Links”); failures in the performance of the App or any linked site; errors in the App; omissions; interruptions; delays in operation or transmission; or network failures.

Haceb carefully selects the links (“Links”) to other Internet sites, which are accessible through the App, but is not responsible for their content or technical aspects, nor does it control, nor can it control them, especially considering that such content varies from time to time. Consequently, access to such Links through the App shall be at the User’s sole risk and responsibility. The above, to the extent that once the User enters the linked site, it is understood that the User has left Haceb’s website.

IMAGES

The images shown in the App are for reference only. Haceb displays the images of the products as clearly and accurately as possible, making an effort to show the colors as close to reality as possible, however, this may be altered by the device or monitor from which the products are displayed. In this regard, Haceb disclaims any liability for the difference between the images of the products presented in the content of the App and the actual products.

AMENDMENTS TO THE CONDITIONS

Haceb reserves the right to update or amend the provisions herein at any time, which will be duly notified to you for your acknowledgment and acceptance.
